Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Zhivia, our training platform, and related services (the “Service”) provided by Xacent Global Technologies (“Xacent”, “we”, “us”), a Tovari Global company. By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation.
Accounts and eligibility
You must provide accurate information and keep your credentials secure. You are responsible for activity that occurs under your account. You must be at least 16 years old to use the Service.
Plans and licences
- Individual: a one-time purchase granting a single learner access to the standard curriculum.
- Corporate Standard: a per-seat subscription that adds organisation-wide compliance reporting and automated retraining.
- Corporate Premium: a per-seat subscription that adds the custom module builder and the Custom Phishing Scenario Quiz Builder.
We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose. Licences are tied to the number of seats purchased and may not be shared between individuals.
Payment and billing
Fees are billed through our payment provider, Stripe. Individual purchases are one-time payments. Corporate subscriptions renew for the term selected until cancelled. Except where required by law, payments are non-refundable. You authorise us to charge the payment method on file for applicable fees.
Organisation administrators
For corporate accounts, administrators may invite and remove users, assign curricula, set retraining policies, and access compliance data for their organisation. Administrators are responsible for obtaining any consents required to enrol their users and for how they use exported reports.
Acceptable use
- Do not misuse, disrupt, or attempt to gain unauthorised access to the Service.
- Do not copy, resell, or redistribute the curriculum or platform.
- Do not upload unlawful, infringing, or malicious content.
- Do not use the Service to violate the rights of others or any applicable law.
Content and intellectual property
The Zhivia platform and standard curriculum, including all related intellectual property, remain the property of Xacent. Content you or your organisation create and upload (such as custom modules and phishing scenarios) remains yours; you grant us the rights needed to host and deliver it as part of the Service. Your completion and compliance data belongs to you and can be exported at any time.
Compliance disclaimer
Zhivia helps you deliver training and produce audit-ready records, but we do not guarantee any particular regulatory outcome, certification result, or insurance decision. You remain responsible for determining and meeting your own compliance obligations.
Warranty disclaimer
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
Limitation of liability
To the maximum extent permitted by law, Xacent will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.
Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or use the Service in a way that creates risk or legal exposure. On termination, your right to use the Service ends, though certain provisions survive by their nature.
Governing law
These Terms are governed by the laws of the jurisdiction in which Xacent Global is established, without regard to conflict-of-law principles.
Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above and, where appropriate, by additional notice. Continued use of the Service after changes take effect constitutes acceptance.
